Participation in the Future Leaders Business Hackathon (“Hackathon”, “FLBH”) is subject to the following Terms and Conditions (“Terms”). By registering for, attending, or submitting work to the Hackathon, Participants agree to be bound by these Terms.
1. DEFINITIONS
“Organiser” means Elementary B Ltd, trading as sherloc, including its affiliates, directors, officers, employees, contractors, and authorised agents.
“Participant” means any individual taking part in the Hackathon in a competing capacity. Judges, mentors, sponsors, and observers are not considered Participants for the purposes of eligibility, prizes, or disqualification.
“Materials” means all content, data, tools, documents, scenarios, rules, scoring frameworks, training materials, templates, software configurations, recordings, and any other resources provided or made available by the Organiser.
“Participant Outputs” means analyses, presentations, models, strategies, or other work created by Participants during the Hackathon.
“Confidential Information” means all nonpublic information disclosed or made available by the Organiser, including Materials, methodologies, scoring frameworks, and internal processes.
“Prize” means any cash award, noncash award, internship, work experience, mentoring, or other opportunity offered in connection with the Hackathon.
“sherloc” is a brand and technology developed by, owned and operated by Eb.
2. ACCEPTANCE OF TERMS
By registering for, attending, or submitting work to the Hackathon, the Participant confirms acceptance of these Terms.
Individuals who do not agree to these Terms must not participate.
The Organiser may update these Terms at any time. Material changes will be communicated to Participants.
3. ELIGIBILITY & PARTICIPATION REQUIREMENTS
3.1 Age Requirement
Participants must be at least eighteen (18) years old at the start of the Hackathon.
The Organiser may request proof of age at any time. Failure to provide satisfactory proof may result in disqualification.
3.2 Student Status
Participants must be:
-
currently registered and active students at a participating university; and
-
enrolled in a recognised undergraduate or postgraduate programme.
The Organiser may verify student status with the relevant university.
Alumni, staff, or external individuals may only participate where expressly authorised.
3.3 Physical Presence
Participants must attend the Hackathon in person for the full duration unless expressly authorised for remote participation.
Late arrival, early departure, or unauthorised remote participation may result in disqualification.
Participants must comply with all venue rules, health and safety requirements, and university policies.
3.4 Identity Verification
Participants must register using their legal name and participating university email address.
The Organiser may request photographic identification and proof of student status at any time.
3.5 Team Eligibility & Conduct
All team members must individually meet eligibility requirements set out in this section 3.
Teams may be disqualified if:
-
any member is ineligible;
-
false or misleading information is provided;
-
participation is delegated to nonregistered individuals;
-
team composition is changed without approval.
Teams are collectively responsible for the conduct of their members.
3.6 Team Formation & Allocation
-
Participants may apply either as part of a preformed team or as individual applicants.
-
Individual applicants will be randomly allocated into teams of four (4) to six (6) Participants for the duration of the Hackathon.
-
Team allocations are final and may not be changed, challenged, or appealed.
-
Participants must compete within their assigned team. Failure to participate with the allocated team, or attempts to alter team composition without the Organiser’s approval, may result in disqualification.
3.7 Pre-Event Training Requirements
Participants must attend all mandatory preevent training sessions as specified by the Organiser.

Failure to attend required sessions may result in disqualification or removal from the Hackathon.
-
Advisors and accountants must attend their designated training sessions to participate in their roles.
3.8 Event Attendance Requirements
-
Participants must attend all scheduled Hackathon sessions for the full duration of each day.
-
Partial attendance may result in disqualification
3.9 Participant Capacity
-
The Hackathon requires a minimum of twentyfive (25) eligible Participants to run.
-
Participation is capped at a maximum of one hundred (100) eligible Participants.
-
Registration does not guarantee participation; the Organiser may select, limit, or prioritise Participants at its discretion to manage capacity, safety, or operational requirements.
-
The Organiser may cancel or reschedule the Hackathon if minimum participation is not met.
4. INTELLECTUAL PROPERTY
4.1 Organiser IP
All Materials, methodologies, structures, rules, scoring frameworks, scenarios, and related content are the exclusive property of the Organiser.
No rights are assigned or transferred to Participants except as expressly provided.
4.2 Limited Licence to Participants
Participants receive a limited, nonexclusive, nontransferable, revocable licence to use the Materials solely for preparing for and participating in the Hackathon.
This licence:
-
is limited to the duration of the Hackathon programme;
-
terminates automatically upon completion, withdrawal, or disqualification.
No rights are granted for external, educational, commercial, or derivative use.
4.3 Prohibited Use
Participants must not, without written consent:
-
reproduce, distribute, or publish Materials;
-
create derivative works or competing events;
-
use Materials for teaching, consultancy, or commercial purposes;
-
claim ownership of the Hackathon concept or Materials.
5. PARTICIPANT CONTRIBUTIONS
5.1 Ownership
Participant Outputs remain the property of Eb and sherloc and the Participants transfer all rights of ownership.
However, any elements derived from or incorporating the Materials remain the property of the Organiser.
Participants must not include thirdparty copyrighted content without permission.
5.2 Licence to Organiser
Participants grant the Organiser a perpetual, worldwide, royaltyfree licence (including the right to sublicense) to use, reproduce, adapt, display, publish, and communicate Participant Outputs for:
-
judging and evaluation;
-
marketing and communications;
-
case studies and reporting;
-
research and development;
-
future Hackathon iterations;
-
internal training.
No personally identifiable information will be published without the express written consent of the participant.
6. CONFIDENTIALITY
Participants agree to:
-
keep Confidential Information strictly confidential;
-
use it solely for Hackathon participation;
-
not copy, record, or distribute Materials without authorisation.
Confidentiality obligations survive the Hackathon.
Exceptions apply where information:
-
is already public;
-
is independently developed;
-
must be disclosed by law.
Participants must notify the Organiser of any unauthorised disclosure.
7. DATA PROTECTION
Personal data will be processed in accordance with the UK GDPR and the Data Protection Act 2018.
Elementary B Ltd is the data controller.
Personal data may be shared with:
-
participating universities;
-
judges and mentors;
-
sponsors;
-
service providers supporting the Hackathon.
Further details are provided in the Organiser’s Privacy Notice.
All business and financial data used during the Hackathon is synthetic unless stated otherwise.
8. USE OF SOFTWARE AND TOOLS
Participants may receive temporary access to software platforms, including sherloc.
Such access:
-
is provided “as is”;
-
may be monitored, limited, or revoked;
-
may not be used to copy or reverse engineer such software;
-
may not be used in combination with any publicly available or proprietary artificial intelligence, machine learning, or generative AI system, tool, or platform, including, without limitation, those accessible via the public internet; and/or
-
does not confer ongoing rights;
-
Participants must not bypass security, extract data, or misuse software.

8.1 Use of Required Artefacts
Participants must use the official artefacts, templates, and tools provided by the Organiser.

Substituting external templates, financial models, or tools is prohibited unless expressly authorised.
-
Failure to complete required artefacts (e.g., decision logs) may affect judging or result in disqualification
9. CONDUCT, MODIFICATIONS & DISCRETION
Participants must comply with:
-
these Terms;
-
venue rules, , including those relating to health and safety matters. The venue retains all liability for any health and safety and security matters (including those relating to your personal possessions for which the Organiser takes no responsibility – you are responsible for the safekeeping of all such items and we recommend that you do not bring valuable items into Hakathon events);
-
university policies;
-
instructions from the Organiser.
The Organiser may:
-
modify the Hackathon format, rules, schedule, or challenges;
-
remove Participants from the venue;
-
disqualify individuals or teams for misconduct or breach.
All decisions of the Organiser and judging panel are final.
9.1 Role Boundaries and Fair Play
Participants must not request or accept prohibited assistance from advisors, accountants, lenders, investors, jurors, sponsors, or observers.
-
Any attempt to obtain strategic, operational, or pitchbuilding support outside the permitted boundaries may result in disqualification.

The Organiser’s interpretation of role boundaries is final
9.2 External Assistance
Participants must not seek or use external assistance, research, consultancy, or tools beyond what is provided or permitted by the Organiser.

This includes external mentors, consultants, AI tools, or financial modelling software.
-
Breach may result in disqualification
9.3 Interaction with Panels and Judges
Participants must not attempt to influence, lobby, or privately engage with lenders, investors, jurors, or sponsors outside the formal processes.

Any attempt to gain unfair advantage may result in disqualification
9.4 Presentation Requirements
-
All teams must deliver a final presentation in accordance with the format, timing, and template provided by the Organiser.

Failure to present may result in disqualification
9.5 Feedback and Post-Event Participation
-
Participants may be required to complete feedback forms or postevent evaluations as part of the programme.
-
Failure to provide feedback may affect eligibility for prizes, certificates, or followup opportunities.
9.6 Respectful Behaviour
-
Participants must treat all stakeholders — including sponsors, observers, volunteers, and university staff — with respect.
-
Disruptive or inappropriate behaviour may result in removal from the event.
10. PRIZES, AWARDS & OPPORTUNITIES
10.1 Skill-Based Competition
The Hackathon is a skillbased competition and is not a gambling event.
Prizes are awarded solely on merit, skill and performance as assessed by the judging panel in accordance with the published scoring framework. As stated above, all decisions of the judges are final and no appeal of those decisions will be allowed or contemplated. Participants take part at their own risk that they may not win.
No element of chance, lottery, or gambling is involved.
10.2 Judging
Judging decisions are final, binding, and not subject to appeal.
10.3 Prize Allocation
Prizes may include cash awards, noncash awards, internships, mentoring, or professional opportunities.
The Organiser may withhold or reallocate prizes where eligibility is not met.
10.4 Cash Prizes – Verification
To receive a cash prize, Participants must provide:
-
valid governmentissued ID;
-
proof of student status;
-
a UK bank account in their own name.
Thirdparty, business, or overseas accounts will not be accepted.
10.5 Withholding of Prizes
The Organiser may delay, substitute, reallocate or withhold prizes where:
-
eligibility requirements are not met or
there is later found to have been a breach of the rules of the Hackathon or these terms;
-
decline to award a prize where no entry meets the required standard.
10.6 Tax Responsibility
Participants are responsible for any tax liabilities arising from prizes.
10.7 Work Experience & Internships
Any work experience or internship opportunities are provided by sponsors and subject to their terms.
The Organiser is not liable for changes, withdrawals, or cancellations.
10.8 No Employment Relationship
Participation does not create an employment, agency, or partnership relationship.
10.9 Publicity
The Organiser may announce winners and use names and images for promotional purposes, subject to data protection laws.
11. MEDIA & RECORDINGS
Participants consent to photography, video, and audio recording during the Hackathon.
Recordings may be used without further payment for promotional, reporting, and educational purposes in any media format.
Participants may opt out of promotional use by written notice prior to the event.
Operational recording (e.g., for judging or safeguarding) cannot be opted out of.
12. LIMITATION OF LIABILITY
To the fullest extent permitted by law:
-
participation is at the Participant’s own risk;
-
the Organiser is not liable for indirect, consequential, or economic loss;
-
the Organiser is not liable for technical failures, venue issues, travel costs, loss of data, or actions of thirdparty sponsors;
-
liability is limited to the total value of the relevant Prize.
Nothing excludes liability for death or personal injury caused by the negligence of the Organiser.
13. TERMINATION
The Organiser may terminate participation immediately for breach of these Terms, misconduct, safety concerns, or violation of university policies.
Upon termination:
-
all licences granted to the Participant cease;
-
Materials must be returned or destroyed upon request;
-
any Prize may be forfeited.
14. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of England and Wales.
The courts of England and Wales have exclusive jurisdiction.
15. SEVERABILITY
If any provision is held unenforceable, the remainder shall continue in full force and effect.
REGISTRATION DECLARATION
By registering, I confirm that:
-
I am at least 18 years old;
-
I am a currently registered student at a participating university;
-
I am eligible to participate and able to attend in person;
-
I understand that providing false information may result in disqualification;
-
I understand that prizes are awarded on a skill basis at the judges’ discretion;
-
I understand that cash prizes require identity and UK bank verification;
-
I understand that internships or work experience opportunities are offered independently by sponsors;
-
I have read, understood, and agree to be bound by the Terms and Conditions of the Future Leaders Business Hackathon.
